General Terms and Conditions of Baobao Deluxe Limited (“Baobao Deluxe”)

This website is operated by Baobao Deluxe. Throughout the site, the terms “we”, “us” and “our” refer to Baobao Deluxe. Baobao Deluxe offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

The following terms and conditions (“Terms of Service”, “Terms”) apply and govern the provision, representation and buying and sales process in conjunction with the use of the services provided by Baobao Deluxe as well as the Baobao Deluxe website.

An user i.e. you accept the validity of these terms each time he/she uses the Baobao Deluxe website. By visiting our site, selling and/ or purchasing something from us, you engage in our “Service” and agree to be bound by the Terms of Service, including those additional terms and conditions and policies referenced herein and/or available by hyperlink.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services.

We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

The use of the Services on this website requires Sellers and Buyers to register as users and to create a user account associated with the said registration.

A user account is non-transferable. A Seller or Buyer can create one user account only.

Registration is free and carried out by opening a user account. Depending on the use as a Seller or Buyer, there are different rights and obligations hereunder.

Registration is only permitted to entities and individuals with unlimited legal capacity. Minors are not permitted to register on this website.

A seller can either be our private or professional member, who commissions Baobao Deluxe to offer, market and sell the sales item designated for sale.

Both private and professional members are required to pay 12% commission to Baobao Deluxe. For professional members, we shall provide monthly sales reports to them for tax purpose.

Once joining, any seller will be defaulted to be our private members. For any member who wish to be our professional members, he/she is required to provide us with a copy of the Certificate of Business Registration.

The difference between private and professional members is on return of the sales items. For private members, any buyer shall not be able to return the sales items to the private members after receiving of the same. For professional members, any buyer shall be able to return the sales items to them within 14 days from the date they receive the package.

A sales item is a second-hand item offered by Baobao Deluxe from sellers through Baobao Deluxe website or another distribution channel, such as garments, bags, shoes, accessories, jewellary or the like etc.

For any sellers who wish to place a Sales Item for sale, they are required to submit a form to us for review. Once the application is accepted by us, we shall give the Seller a free shipping label if the sales is within the same territory i.e. Hong Kong. If the Seller is outside the territory, the Seller will be required to send us their Sales Item at their own costs. The Seller shall also bear the risk of loss or damage for such Sales Item until they are duly received by us.

Upon our receipt of a Sales Item, we will conduct visual inspection to determine whether or not the Sales Item is authentic and identify the condition of the Sales Item. In the event that we consider that the Sales Item is not authentic, the Seller concerned is required to pay HKD150 for our processing fees to get the Sales Item back from us. If the Seller concerned does not pay to us within 6 months, we shall at our discretion dispose the said item accordingly.

For any items that have been scrutinized by us as authentic but not met with our standard, we shall return to the Seller concerned for free.

By means of the sales order, the Seller authorizes us to find potential Buyers for the respective Sales Item and to sell it on behalf of the Seller and in compliance with these terms. The sale will be conducted primarily via this website. The Seller also hereby authorizes us to conclude a sales contract on his or her behalf.

We only accept original merchandise to be sold via us as the Sales Items. The respective Sales Items must be unsoiled and have been cleaned as well as be in mint, very good or good condition. Sales Items with severe traces of use, stains, holes, odours or other damage are not permitted as Sales Items.

Sellers shall ensure that all Sales Items he/she offers for sale and to be sold by us are his/her own property as well as free of third party rights, do not represent fakes or other infringing merchandise and correspond to the Sales Item information he/she provided. The Seller shall not simultaneously offer the respectively listed Sales Item outside the sales offers initiated by us on his/her own or through a third party.

If we have any questions in relation to the Sales Item, we will email the Seller concerned directly.

For Sellers who wish to place a Sales Item for sale, they are required to inform us the minimum amount they wish to receive after performing the sale.

All Sellers hereby acknowledge and agree that Baobao Deluxe shall give discounts to Buyers who purchase a Sales Item at our website, depending on their type of membership. Therefore, all Sellers must obtain the minimum amount they wish if the Sales Item is sold but may even obtain an even higher amount, depending on the membership of the actual Buyer who makes the purchase.

The Seller hereby assigns the purchase price claim against the Buyer to us based on the sales contract concluded between the Seller represented by us and the Buyer. We hereby accept the said assignment.

For private members, they will get paid from us after 7 days of the Sales Item being shipped by us while for professional members, they will get paid from us after 14 days of the receipt of the Sales Item by a Buyer

We shall transfer the payment to the Sellers into the bank account specified by the Sellers.

We are entitled to offset Seller’s claims against our own claims outside of or in conjunction with the purchase of the receivable. Furthermore, we have a right of retention in the case of outstanding claims against the Seller.

Users can register at Baobao Deluxe as buyers of the Sales Items. We have different paid VIP membership schemes for subscription, depending on price and length. For the avoidance of doubt, VIP fees paid to us are not refundable in any circumstances and for whatever reasons.

Different VIPs get different discounts for purchase, the details of which are as follows:-

The above discounts shall only apply for any Sales Item itself. No discount shall be applied to any VIP fees, vouchers, shipping fees or any other applicable costs.

To purchase a Sales Item on our website, a Buyer registered with us can click “Add to Cart” button to place the said item into his/her shopping cart. This is the first step of the purchase process but not binding on any parties. For the avoidance of doubt, a Buyer who makes payment first shall be able to reserve and own the Sales Item.

If a sales contract has been concluded between the Buyer and us representing the Seller, the Buyer is obliged to pay the purchase price for the Sales Item. The purchase price is immediately due.

We offer Credit Card (Visa/Mastercard) as payment method.

No cancellation for any Sales Item originating from a private Seller in any circumstances. Once the payment is made, the Sales Item concerned originating from a private Seller shall belong to the Buyer.

For any Sales Item originating from a professional Seller, the Buyer can cancel the Order any time before shipment.

In order to prevent flippers, we offer purchase limits for Buyers, depending on the conditions of a Sales Item in the last purchase. In other words, a Buyer may need to wait for a period of time before being able to make another purchase with us. Buyers can refer to “how to buy” page to understand how our purchase limits work.

We expressly reserves our right to terminate any user account if we are of the opinion that the purchase behavior is suspicious (including but not limited to acting like a flipper) and not genuine.

Add-on items mean any extra thing to be added onto a Sales Item, for example adding a strap onto a Sales Item.

All members herein who select an add-on item hereby acknowledge and agree that this kind of add-on may constitute a form of alteration which may lead to refusal of any after-sale services provided to customers by the brand companies. In any circumstance, Baobao Deluxe Limited shall not be responsible for any such liability incurred for any members who select an add-on item.

We offer vouchers to our VIP members. They are prepaid cash coupons and can be used when they make payment for any purchase of Sales Items. Our vouchers do not have any expiry dates. However, no more than 1 coupon can be used for each purchase.

Vouchers can be used on all Sales Items, even if they are in different currency. When a member purchases a voucher, the corresponding exchange rate will be recorded on our page for reference. For the avoidance of doubt, the exchange rate shall be fixed at the time when the voucher is bought instead of the time that the voucher is used.

All vouchers are not refundable or exchangeable.

Once an order is received, we shall send out the Sale Item in 2 working days, excluding Saturday, Sunday and any public holidays.

Our shipping fees are fixed depending on the shipping country. The respective shipping fees will be displayed. Buyers are solely responsible for the shipping costs.

Once our product(s) is / are sent out, we will give you another email to confirm the delivery which will include a tracking number for you to track the status of your parcel with the corresponding shipper from time to time. Any estimated delivery date of the order shall be provided by the shipper. Therefore, we shall not be responsible for any such delay however caused.

Title and risk to your purchased goods shall pass to you at the time we pass on such purchased goods to its designated shipper.

Buyers are responsible to make sure the delivery address is accurate, otherwise it might cause delay or loss of products. If the courier cannot find the delivery person, they will return the products to us. Any re-delivery of products under such circumstance, Buyers have to be solely responsible for the shipping fee incurred as a result of re-delivery by us.

Returns are accepted only if the purchase is from a Seller who is our professional seller but not a private seller. The Buyer concerned is required to contact us within 14 days after receipt of a Sales Item if they would like to request for return, provided that the Sales Item shall be in the same condition as it is sold and our tag attached to it is kept. In no circumstance, we shall accept any requests for return of a Sales Item if the Sales Item is damaged or our tag is removed from the Sales Item.

For the avoidance of doubt, we shall not accept any request for return or refund of a Sales Item if the said item is damaged due to misuse by a Buyer.

All members shall be responsible for payment of any tax and duties. Members shall pay all applicable tax and duties to the applicable authorities when the Sales Item arrives in their country.

In the event that the Sales Item is returned to us due to non-payment of tax and duties, we are entitled to place the Sales Item on sale in the Seller’s account directly without notice. When the Sales Item is then sold to a new Buyer, the Seller is required to pay 12% commission to us.

In order to facilitate our members to calculate import tax, there is an “import tax calculator” in our Checkout page. Members can check the tax and duties calculation before payment. However, all figures are for reference only. We shall not be responsible for any liability incurred if any applicable customs authority charges a different amount for tax or duties.

Any Sales Item is covered by insurance for any loss or damage by the shipper. The insurance covers the declared value of a Sales Item. For the avoidance of doubt, the declared value means the amount paid by the Buyer after VIP discounts and vouchers.

In the event of any loss or damage of the Sales Item, the Buyer shall contact the Shipper directly for claiming insurance. We shall not be responsible for any claim for insurance in this connection. We do not reissue the vouchers.

We do not grant any warranty for defects for any Sales Items sold by Baobao Deluxe for a seller. The respective seller is solely responsible in this respect.

Furthermore, we do not issue any guarantees.

While we shall perform the inspection diligently in the form of an external visual inspection using appropriately trained personnel, in the event that any Buyer considers the Sales Item is not authentic, they are required to contact the respective brand on their own and obtain a written letter issued, containing the reference number of our Sales Item and explaining the details of the Sales Item. Upon receiving the said letter, we shall investigate and consider any refunds, provided that any refund shall only be made on the following conditions:-
